1. Acceptance of Terms
By creating an account, accessing, or using NetworQ Social (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any community guidelines, policies, or rules that we publish or update from time to time.
These Terms apply to all users of the Platform, including but not limited to coaches, creators, entrepreneurs, learners, group or page administrators, marketplace sellers, and community members who participate in courses, events, forums, or reels.
If you do not agree with any part of these Terms, you may not access or use the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
By accepting these Terms, you also confirm that:

You are at least 18 years old, or of the legal age of majority in your jurisdiction, to enter into a binding agreement.

You have the authority to create an account and, if applicable, act on behalf of your business, brand, or organization.

You will comply with all applicable laws and regulations while using the Platform.
Your participation on NetworQ Social is a privilege, not a right. We reserve the right to suspend, restrict, or terminate your account if you violate these Terms, our community standards, or any applicable law.
2. Community Guidelines
NetworQ Social is a community-first learning and earning platform. Our mission is to create a space where coaches, creators, entrepreneurs, and learners can share knowledge, build relationships, and grow together. To keep the Platform safe, supportive, and valuable for everyone, you agree to follow these guidelines:
Respectful Conduct

Treat all members with respect, even if you disagree.

Do not post harmful, abusive, hateful, discriminatory, or otherwise offensive content.
-
Harassment, bullying, or targeted attacks against individuals or groups are strictly prohibited.
Honest Participation

Use your real name and provide accurate information in your profile (business names belong on Pages and Groups, not personal accounts).

Do not impersonate others or misrepresent your identity.
-
Share knowledge, resources, and opportunities in good faith — not to mislead or exploit.
Safe & Legal Use

Do not post or distribute unlawful content, including threats, incitement, or content that violates intellectual property rights.
-
Prohibited activities include scams, pyramid schemes, or the sale of counterfeit, restricted, or illegal products.

Do not attempt to upload, transmit, or distribute malware, viruses, or any harmful code.
No Spam or Manipulation

Avoid repetitive, irrelevant, or promotional spam in posts, comments, or messages.

Do not artificially manipulate visibility (e.g., fake likes, fake followers, or coordinated inauthentic behavior).

Backlinks and business promotion are welcome only when paired with valuable content that serves learners and the community.
Accountability & Consequences

Violations of these guidelines may result in warnings, content removal, restricted features, account suspension, or permanent termination.
-
Serious violations (such as fraud, harassment, or threats) may be reported to the appropriate authorities.
We believe that NetworQ thrives when knowledge-sharing comes first. By following these guidelines, you help us maintain a platform that empowers everyone to learn, teach, and earn responsibly.
3. User Responsibilities
To participate in NetworQ Social and access its features, you must create and maintain a valid account. A complete and authentic profile helps us build a trusted community. When registering, you agree to provide the following:

Your real first and last name (business names belong on Pages or Groups, not personal profiles).

A valid email address that you actively check for verification and communication.
-
A current profile photo of yourself (logos, stock images, or misleading photos are not permitted).
-
Your country and city/state location for transparency and to help members connect locally when desired.
By maintaining your account, you agree to the following responsibilities:
Accuracy & Authenticity

Keep your profile information true, accurate, and up to date.
-
Do not create multiple accounts, fake accounts, or impersonate others.
-
Use your account for personal participation — business representation should be managed through Pages, Groups, or Marketplace listings.
Account Security

You are solely responsible for maintaining the confidentiality of your login credentials (email and password).
-
All activity that occurs under your account is your responsibility.
-
Notify us immediately if you suspect unauthorized access or a security breach.
Community Trust

Use your account to contribute positively to the Platform — whether by sharing knowledge, joining discussions, enrolling in courses, posting gigs, or creating content.
-
Do not lend, sell, or transfer your account to another individual or entity.
-
Respect the rights, privacy, and safety of other members.
Failure to meet these responsibilities may result in account restrictions, suspension, or termination. Our goal is to ensure every member can confidently connect, learn, and earn in a safe and authentic environment.
4. Platform Features & Usage
NetworQ Social provides a variety of tools and spaces designed to help coaches, creators, entrepreneurs, and learners share knowledge, build community, and earn together. By using these features, you agree to use them responsibly and in accordance with our Terms, Privacy Policy, and Community Guidelines.
Profiles

Every member must maintain a personal profile with their real first and last name, valid email, location, and profile photo.

Profiles represent you as an individual. Business names and branding should be created under Pages or Groups.
-
Profiles may not contain false information, logos in place of a photo, or impersonation of another person.
Pages
-
Pages represent businesses, brands, or professional identities.
-
They can be used to share updates, post content, host events, and promote services or products.
-
Pages must be accurate, authentic, and owned by the entity they represent. Duplicate or misleading Pages may be removed.
Groups
-
Groups are member-driven spaces for focused discussions, networking, or learning communities.
-
Admins are responsible for moderating their groups and ensuring compliance with community rules.
-
Groups can be public or private but must remain safe, respectful, and legal.
Posts & Publishing Features
Members can create and share different types of content across their profile, page, or group. To keep posts valuable and authentic, the following features are available:

Go Live – Stream live sessions to connect with your audience in real time.
-
Upload Photos & Create Albums – Share single images or curated photo albums.
-
Feelings/Activity – Add context to posts by sharing what you’re doing or how you feel.
-
Check In – Tag a location when posting to share where you are or where an event is happening.
-
Colored Posts – Use background colors to make text posts stand out.
-
Voice Notes – Record and share audio messages with your audience.
-
Create Blog – Publish long-form content directly from your posting area.
-
Create Product – Add items to the Marketplace for sale.
-
Create Job – Post freelance or employment opportunities in the Gigs section.
-
Create Course – Launch a course and share it with learners.
-
Create Poll – Gather opinions or feedback from the community.
-
Upload Reel / Video / Audio / File – Share multimedia content including short videos, long-form videos, audio files, or downloadable resources.
-
Schedule Post – Plan and schedule posts for future publishing.
-
Enable Tips – Allow other members to send you voluntary tips as support.
-
Subscribers Only – Share exclusive posts only visible to subscribers.
-
Paid Post – Set a one-time price for access to a specific post (available even to subscribers).
All posts must comply with our Community Guidelines (no spam, harmful, misleading, or unlawful content). Abuse of posting features may result in account restrictions or removal.
Blogs

Blogs allow members to publish educational articles, insights, and resources.
-
All content must be original, properly attributed, and not infringe on third-party rights.
-
Blogs may be monetized through tips, subscribers-only access, or integration with courses/products.
Courses
-
Courses are structured learning programs created by members.
-
Course creators are responsible for content accuracy, quality, and delivery.
-
Learners may not copy, resell, or redistribute course materials.
Events
-
Events can be online or offline, free or paid.
-
Organizers are responsible for accuracy of details and delivery of promised experiences.
-
Fraudulent or misleading events are prohibited.
Marketplace
-
Members can list physical or digital related educational resources for sale.
-
All listings must be accurate, lawful, and deliverable.
-
Counterfeit, unsafe, or prohibited items are not allowed.
Forums
-
Forums are open spaces for Q&A, networking, and topic discussions.
-
Posts must remain on-topic, respectful, and free from spam.
Reels
-
Reels are short videos designed for quick education, storytelling, or engagement.
-
Reels must be authentic and follow copyright laws.
-
Misuse for spam or harmful content will lead to removal.
4. Content Ownership & Licensing
At NetworQ Social, we believe creators should retain full rights to their work. You remain the owner of any content you create and share on the Platform. This includes posts, blogs, courses, events, videos, audio, photos, products, gigs, and any other contributions you upload.
Your Rights

You own the intellectual property rights to all original content you post.

You control whether to keep content public, private, subscriber-only, or remove it entirely.
-
You may delete your content at any time. Once deleted, it will no longer appear on your profile, page, or group.
Our License to Operate the Platform
By posting on NetworQ Social, you grant us a non-exclusive, royalty-free, worldwide license to:

Display your content in feeds, search results, and discovery features.

Distribute your content within the Platform (e.g., featured sections, recommendations, or category highlights).
-
Use your content to promote the Platform in ways that do not harm your brand or misrepresent you (for example, showcasing community posts in a promotional banner or “Top Creator” highlight).
This license exists solely to enable the Platform to function and promote community growth. You retain all ownership, and we do not claim exclusive rights over your work.
Content Removal & Retention

When you delete content, it will generally be removed from the Platform immediately.

Copies of your content may remain temporarily in backups, caches, or archives until those systems refresh.
-
If your content was shared or reposted by other members, it may continue to be visible on their profiles, groups, or discussions until they remove it.
Member Protections

We will never sell your content to third parties without your explicit permission.
-
We respect your privacy and creative ownership — our use of your content is limited to what’s necessary for the Platform to operate and grow.

If you believe your content has been misused or infringed upon, you may report it through our support channels for review.
5. Payments, Subscriptions & Transactions
NetworQ Social provides multiple ways for members to earn, subscribe, and transact on the Platform. By using these features, you agree to the following terms:
Account Verification (Required for Monetization)

To enable monetization (including tips, paid posts, subscriptions, or sales), you must complete account verification by providing valid identification (photo and government-issued ID).

Accounts that fail verification may not access monetization features.
Monetization Features
Verified members can earn money through the following:

Paid Posts – Set a price for specific posts.
-
Paid Chat / Audio / Video Calls – Charge for direct communication.
-
Subscription Plans – Offer monthly or custom subscription access to exclusive content.
-
Tips – Allow followers to send you voluntary financial support.
-
Courses, Marketplace Products, and Freelance Gigs – Sell educational programs, digital/physical products, or services.
Commission:
-
A 10% platform fee is deducted from all monetized transactions (posts, subscriptions, courses, gigs, marketplace sales, tips, and calls).

The remaining balance is credited to your Wallet.
Wallet & Withdrawals

Earnings are stored in your NetworQ Wallet.
-
You may:
-
Withdraw funds to your connected payout method.
-
Transfer credits within the Wallet (e.g., subscription credit, affiliate credit, monetization credit, marketplace credit).
-

Withdrawal thresholds, methods, and timelines may vary by region and payment provider.
Subscriptions & Membership Plans
-
Members may purchase Platform Membership Packages (Free, Basic, Pro, etc.) for access to additional features.
-
Membership fees are billed according to the selected plan (monthly, yearly, or custom).
-
By purchasing a subscription, you authorize us to charge your payment method on a recurring basis until canceled.
-
You may cancel your subscription at any time through your account settings; however, fees already paid are non-refundable.
Affiliates Program

Members may participate in the Affiliate Program to earn commissions by referring new users.
-
Commission structure:
-
Up to 40% (Level 1) from purchases by your direct referrals.
-
Lower percentage commissions may apply at Level 2 and Level 3, based on the affiliate plan.
-

Affiliate commissions are credited to your Wallet once the referred user registers and completes a qualifying purchase (membership package or monetized content).
-
Fraudulent or self-referrals are strictly prohibited.
Transactions Between Members

NetworQ Social provides the platform for transactions but is not a party to the contract between buyers and sellers (including courses, gigs, and marketplace products).

Sellers are responsible for fulfilling their offers accurately and on time.
-
Buyers are responsible for reviewing content or products before purchase.
-
NetworQ may intervene in disputes if Terms or Community Guidelines are violated but does not guarantee resolution of all disputes.
Refunds & Chargebacks

All sales are considered final unless otherwise required by law.

Refund requests must be directed to the seller (for courses, gigs, or marketplace items).
-
Abuse of the chargeback process may result in account suspension or termination.
6. Affiliate Disclosure
NetworQ Social offers an Affiliate Program that allows members to earn commissions for referring new users, memberships, or monetized content. To ensure transparency and compliance with applicable laws, the following terms apply:
FTC Disclosure Requirements

Affiliates are required to clearly disclose that they may receive compensation for referrals.

Disclosures must be conspicuous and easy to understand — for example:

“As a NetworQ Social affiliate, I may earn a commission if you sign up or make a purchase through my link.”

Hidden or misleading affiliate promotions are prohibited.
Fraud Prevention

All affiliate commissions are subject to fraud review and verification.

Fraudulent activity (self-referrals, fake accounts, false signups, or manipulative practices) will result in withheld commissions and possible account termination.
Transparency & Integrity

Affiliates may only promote NetworQ Social in truthful and ethical ways.

Affiliates may not make false claims, guarantees of income, or misrepresent the Platform.

All promotions must align with our Community Guidelines and applicable advertising laws.
Right to Withhold or Revoke

NetworQ Social reserves the right to withhold commissions or terminate affiliate accounts if we determine the program is being misused.

Affiliates who violate these terms may forfeit unpaid earnings.
7. Intellectual Property Infringement & DMCA Policy
NetworQ Social respects the intellectual property rights of creators and expects all members to do the same. Our community is built on original knowledge-sharing, and infringement of copyright, trademark, or other intellectual property rights is strictly prohibited.
Your Responsibility as a Member

You may only upload or post content you own or have legal rights to use.

Do not copy, reproduce, or redistribute content from other members, third-party sites, or copyrighted sources without permission.
-
Trademarks, logos, and brand assets of others may not be used without authorization.
Reporting Infringement
If you believe your intellectual property rights have been infringed on NetworQ Social, you may submit a formal complaint. A valid report must include:

Your full legal name and contact information.
-
Identification of the copyrighted or trademarked work you claim has been infringed.
-
A direct link (URL) to the infringing content on the Platform.
-
A statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law.

A statement, under penalty of perjury, that the information in your report is accurate and that you are authorized to act on behalf of the rights holder.

DMCA (Digital Millennium Copyright Act) Compliance
For U.S. users and rights holders, NetworQ Social complies with the Digital Millennium Copyright Act (DMCA). Upon receiving a valid DMCA Takedown Notice:

We will promptly remove or disable access to the allegedly infringing material.

We will notify the user who posted the content of the takedown request.
-
Repeat infringers may have their accounts suspended or terminated.
Counter-Notification
If you believe your content was removed in error, you may submit a Counter-Notification that includes:

Your full legal name and contact information.

Identification of the removed content and its location before removal.

A statement, under penalty of perjury, that you have a good-faith belief the content was removed due to mistake or misidentification.

Your consent to the jurisdiction of your local federal court (if in the U.S.) or to the jurisdiction of NetworQ Social’s location if outside the U.S.

Your physical or electronic signature.
Upon receiving a valid counter-notification, we may restore the removed content unless the original complainant files a court action within the legally required timeframe.
Repeat Infringement Policy

Users who repeatedly infringe intellectual property rights may have their accounts suspended or permanently terminated.

We reserve the right to suspend monetization, restrict features, or disable accounts in response to repeated or severe infringement reports.
8. Data & Privacy Policy Summary
NetworQ Social values your privacy and gives you control over how your personal information is shared on the Platform. By using NetworQ Social, you agree that we may collect, process, and store your data in line with this summary and our full Privacy Policy.

Your Rights

Correction: You may update or edit your account information at any time.

Deletion: You may delete your account, which permanently removes your profile and content (except as required by law or backups).

Consent Management: You may withdraw consent for connected accounts or monetization features.
Data Sharing

Limited sharing occurs only as needed to provide services (e.g., payment processors, analytics providers).

Content you choose to make public (posts, blogs, reels, etc.) may be visible to other members, subscribers, or the public.
Data Retention

We retain your data as long as your account is active.

Deleted accounts and content may remain in backups or caches temporarily.
9. Disclaimers & Limitation of Liability
Platform Disclaimer
NetworQ Social is a community platform that provides tools for members to connect, share knowledge, and conduct transactions. We do not guarantee the accuracy, reliability, or quality of content posted by members, including posts, blogs, courses, marketplace products, freelance gigs, or events. All content reflects the views of individual users, not NetworQ Social.
No Guarantee of Results
While we provide tools for learning, teaching, and earning, we make no guarantees that you will achieve specific outcomes, financial results, or business success from using the Platform. Any reliance on content or advice shared by members is at your own risk.
Third-Party Interactions

NetworQ Social is not responsible for transactions, communications, or relationships formed between members (e.g., buyers and sellers, coaches and learners, clients and freelancers).

We do not act as an agent, broker, or guarantor for member agreements. Disputes between members must be resolved directly by the parties involved.
Service Availability

We strive to keep the Platform available, but we do not guarantee uninterrupted access or error-free operation.

We may suspend, modify, or discontinue features at any time without notice.

NetworQ Social is not liable for data loss, downtime, or service interruptions.
Limitation of Liability
To the fullest extent permitted by law:

NetworQ Social, its owners, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

This includes but is not limited to loss of profits, data, goodwill, or business opportunities, whether arising from use of the Platform, reliance on content, or participation in transactions.

Our total liability for any claim related to the Platform will not exceed the greater of: (a) the amount you paid to NetworQ Social in the last 12 months, or (b) $100 USD.
“As Is” Basis
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
Jurisdiction & Consumer Rights
Some jurisdictions do not allow limitations of liability or disclaimers of implied warranties. In such cases, parts of this section may not apply to you, and your rights remain protected under applicable law.
10. Termination of Accounts & Suspension of Services
Our Right to Suspend or Terminate
NetworQ Social reserves the right to suspend, restrict, or permanently terminate your account and access to the Platform if we determine, at our sole discretion, that you have:

Violated these Terms of Service, Privacy Policy, or Community Guidelines.

Engaged in fraud, harassment, unlawful activity, or infringement of intellectual property.
-
Used false information, impersonation, or multiple/fake accounts.
-
Abused monetization features, payment systems, or the affiliate program.
-
Conducted actions that may harm the safety, trust, or reputation of the Platform or its members.
Immediate Termination
In serious cases, such as threats, scams, distribution of harmful content, or repeated violations, termination may be immediate and without prior notice.
Effect of Termination

Access to Account: You will lose access to your profile, content, messages, and wallet upon termination.

Content Removal: Your posts, blogs, groups, and other contributions may be removed or disabled.
-
Monetization Earnings: Any pending earnings in your Wallet may be withheld if they are linked to fraudulent or prohibited activity. Legitimate balances may be eligible for withdrawal at our discretion.

Subscriptions: If you subscribed to a membership or a creator, your access will end immediately. Subscription fees already paid are non-refundable.
Member-Initiated Termination
You may delete your account at any time through your Account Settings → Delete Account.

Deleting your account permanently removes your profile and content from the Platform (except for limited backups, caches, or as required by law).
-
Any remaining Wallet balance must be withdrawn before deletion.
Appeals & Restoration

If you believe your account was suspended or terminated in error, you may submit an appeal to support@networq.co within 14 days of termination.

Appeals will be reviewed, but restoration is not guaranteed.
11. Governing Law & Dispute Resolution
Governing Law
These Terms of Service and any disputes arising out of or related to your use of NetworQ Social shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Informal Resolution First
We value our community and aim to resolve disputes quickly and fairly. Before filing a legal claim, you agree to first contact us at legal@networq.co to attempt to resolve the matter informally. We will make good-faith efforts to respond and seek resolution within 30 days.
Binding Arbitration
If a dispute cannot be resolved informally, you agree that it will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) or a similar recognized body.

Arbitration will be conducted in Delaware, unless both parties agree otherwise.

The arbitration decision will be final and binding, with limited grounds for appeal.

Each party will bear its own legal costs, unless the arbitrator decides otherwise.
Class Action Waiver
You agree that disputes with NetworQ Social must be resolved on an individual basis.

No claims may be consolidated with others.

You waive the right to participate in any class action, class arbitration, or representative action against the Platform.
Injunctive Relief
NetworQ Social may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or prevent unlawful activity, without first engaging in informal resolution or arbitration.
Jurisdiction for Non-Arbitrable Matters
For any claims not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Delaware.
12. Changes to Terms
NetworQ Social may update these Terms of Service, our Privacy Policy, and Community Guidelines from time to time to reflect changes in our platform, features, or applicable laws.

Notification: When significant changes are made, we will notify members through email, platform notifications, or by posting a notice on our website.

Review Period: Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.

Your Responsibility: You are responsible for reviewing the Terms regularly to stay informed of updates.
If you do not agree with the updated Terms, you must discontinue use of the Platform and, if applicable, delete your account.
13. Indemnification
You agree to indemnify, defend, and hold harmless NetworQ Social, its owners, affiliates, employees, and partners from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:

Your use of the Platform or its features.

Content you create, post, sell, or share on the Platform.

Your violation of these Terms, Privacy Policy, or Community Guidelines.

Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.

This obligation survives the termination of your account or use of the Platform.
